1.Purpose and Scope

These Promotional & Referral Terms ("Promotional Terms") govern the promotional offers and the referral program operated by Deku Studios LLC on the Deku Studios mobile applications, websites, and related services (collectively, the "Platform"). These Promotional Terms are incorporated into and form part of the Terms of Service. Capitalized terms not defined here have the meanings given in the Terms of Service.

These Promotional Terms apply to the Deku Studios Referral Program described in Section 3, and to any other promotional offer, deposit bonus, contest-entry credit, or incentive program operated by Deku Studios from time to time (see Section 7).

In the event of a conflict between these Promotional Terms and the specific terms of an individual promotional offer communicated to a Player, the terms of the specific offer shall control to the extent of the conflict, consistent with Section 6.8 of the Terms of Service.

2.General Eligibility

To participate in any Deku Studios promotion or referral, you must:

  • Be at least eighteen (18) years of age, or twenty-one (21) years of age in jurisdictions where required for cash-entry play.
  • Hold an active Deku Studios account in good standing.
  • Be physically located in an Eligible Jurisdiction (a state or territory where cash-entry contests are offered on the Platform).
  • Have completed identity verification (KYC) where required for any promotional credit to be usable for cash-entry contests or to unlock a Qualifying Event.
  • Not currently be subject to a self-exclusion period or to an account suspension or termination.
  • Not be an employee, officer, director, member, or contractor of Deku Studios LLC, or an immediate family member of such a person.

Promotional credits issued to a Player who does not satisfy these eligibility requirements are void and may be revoked at any time without notice.

3.Referral Program

3.1Overview

The Deku Studios Referral Program (the "Referral Program") allows eligible Players to invite new users to join the Platform. When a new user joins the Platform using your unique referral link or referral code and subsequently satisfies the Qualifying Event defined below, both the referring Player (the "Referrer") and the new Player (the "Referee") receive a Bonus Cash credit.

3.2How to Participate

Each eligible Player has a unique referral link and referral code accessible from within the Platform. To make a successful referral:

  1. Share your unique referral link or referral code with a person who does not already hold a Deku Studios account.
  2. The Referee creates a new Deku Studios account using that link or code.
  3. The Referee satisfies the Referee-eligibility criteria in Section 3.3 and completes the Qualifying Event in Section 3.4.

Only one referral attribution is recorded per new account. The first attributable referral link or referral code used by the Referee at the time of account creation is the controlling attribution.

3.3Referee Eligibility

A Referee qualifies for the Referral Program only if all of the following are true at the time of the Qualifying Event:

  • The Referee is a new Deku Studios user with no prior account on the Platform.
  • The Referee satisfies the General Eligibility requirements in Section 2.
  • The Referee's device, IP address, email domain, and payment method are not associated with any existing or prior Deku Studios account.
  • The Referee has completed identity verification (KYC) prior to receiving the Bonus Cash credit.
  • The Referee was not solicited through any prohibited conduct described in Section 4.

3.4Qualifying Event

The Referrer Bonus and Referee Bonus are issued only after the Referee completes a Qualifying Event, defined as follows:

The Referee successfully completes the Referee's first paid cash-entry contest on the Platform with an entry fee of five U.S. dollars ($5.00 USD) or greater, paid from real (deposited) cash balance.

The following do not qualify as a Qualifying Event: Bonus Cash credits or other promotional credits applied to the entry fee; free-play (Acorn) contests; contests that are cancelled, refunded, or voided; and entries later reversed due to a violation of the Terms of Service, Acceptable Use Policy, or these Promotional Terms.

3.5Bonus Amounts and Crediting

Subject to the eligibility and qualifying conditions in this Section 3, the following credits are issued:

Both credits are issued to the recipient's Bonus Cash balance within seventy-two (72) hours after the Qualifying Event is verified.

Deku Studios may adjust the Referrer Bonus and Referee Bonus dollar amounts at any time, in its sole discretion, on a forward-looking basis. The bonus amount in effect at the time the Qualifying Event is completed is the amount that will be issued to both parties for that referral.

3.6Caps and Limits

To maintain program integrity, the following limits apply per Referrer account:

  • A maximum of ten (10) successful referrals per calendar month.
  • A maximum of fifty (50) successful referrals per rolling twelve (12)-month period.

Referrals exceeding these caps will not generate a Referrer Bonus. A Referee introduced after a Referrer has reached the cap may still receive a Referee Bonus if the Referee otherwise satisfies these Promotional Terms.

3.7Bonus Cash Mechanics

Bonus Cash credits issued under this Section 3 are governed by Sections 6.4 through 6.7 of the Terms of Service. In summary, and without limiting those Terms:

  • Use limited to entry fees. Bonus Cash may be used solely to pay contest entry fees on the Platform. For each cash-entry contest, while your real (deposited) cash balance is non-zero, five percent (5%) of the entry fee is drawn from your Bonus Cash balance (where available) and the remaining ninety-five percent (95%) is drawn from your real cash balance. Once your real cash balance is exhausted, the entire entry fee is drawn from Bonus Cash.
  • No withdrawal. Bonus Cash itself cannot be withdrawn, transferred, or converted to real currency under any circumstances.
  • Forfeiture on withdrawal. Upon any withdrawal of funds from your Platform wallet, all unused Bonus Cash will be immediately and permanently forfeited.
  • Expiration. Referral Bonus Cash credits expire ninety (90) days after they are issued, if not used. Expired credits are not reinstated.
  • Prizes are real cash. Contest prizes won while using Bonus Cash (in whole or in part) to pay entry fees are credited to your real cash balance and are fully withdrawable, subject to the withdrawal terms in Section 7 of the Terms of Service.

No Sweepstakes-Casino Structure. For the avoidance of doubt, Bonus Cash is not a "sweepstakes," "sweepstakes entry," "promotional sweepstakes coin," or any analogous sweepstakes-casino-style token. Bonus Cash is not, and is not redeemable for, any item of monetary value outside of its function as a credit to pay Platform entry fees. This Section 3.7 confirms the Platform's compliance with California Assembly Bill 831 (Stats. 2025, ch. 416), effective January 1, 2026, and analogous state-law frameworks.

4.Prohibited Conduct

The following conduct is prohibited in connection with any Deku Studios promotion or referral. Engaging in any of the following will result in voiding of bonus credits, forfeiture of associated balances, and additional enforcement under the Acceptable Use Policy and the Terms of Service:

  • Self-Referral. Referring yourself or any account owned, controlled, or operated by you, including through a secondary account, a family member's account, or a shared device or household.
  • Multi-Accounting. Creating, operating, or referring through multiple accounts on the Platform.
  • Coordinated or Bulk Sign-Ups. Coordinating with one or more other persons to manufacture referrals, including organized sign-up rings, paid sign-up campaigns, farmed accounts, or any other scheme designed to generate Referrer Bonuses without genuine new-user adoption.
  • Fraudulent Identity. Referring, or being referred, using falsified identification, third-party identification documents, stolen identities, or synthetic identities.
  • Payment Fraud. Funding the Qualifying Event or any related deposit using a stolen, unauthorized, or fraudulent payment method.
  • Sale or Purchase of Referrals. Offering money, goods, services, or other consideration in exchange for accepting a referral link or referral code, or purchasing referrals from any third-party service or marketplace.
  • Misleading Promotion. Promoting your referral link or code through spam, deceptive advertising, false claims about Deku Studios, impersonation of Deku Studios, or in violation of any third-party platform's terms of service.
  • Bonus Cash Arbitrage. Engaging in deposit-then-withdrawal patterns, low-skill or throwaway contest entries, or similar patterns designed primarily to extract value from Bonus Cash rather than to play the Platform in good faith.
  • Targeting Minors or Restricted Persons. Sharing your referral link or code with persons known or reasonably believed to be under the age of eligibility, residing in restricted jurisdictions, or otherwise ineligible to participate.
  • Self-Exclusion Evasion. Soliciting, accepting, or facilitating a referral that has the effect of evading an active self-exclusion period of any party.

5.Deals

5.1Overview

A "Deal" is a time-limited deposit promotion offered by Deku Studios from time to time within the Platform's game interface. When an eligible Player completes a real-money deposit in the exact amount specified by an active Deal during that Deal's published window, the Player receives the Deal's published reward (a Bonus Cash credit, an Acorn credit, or both) in addition to the deposited cash, which is credited to the Player's real cash balance in the normal course.

5.2Eligibility

To claim a Deal, a Player must satisfy the General Eligibility requirements in Section 2 and must hold an active game profile on the Platform for the game to which the Deal applies. A Deal may further restrict eligibility through its published terms, including its active time window, its per-Player redemption cap, and (where applicable) an aggregate redemption cap across all Players.

5.3Activation and Reward Crediting

To claim a Deal, a Player completes a real-money deposit through the Platform's standard deposit flow in the exact amount specified by the Deal during the Deal's active window. Upon successful settlement of the deposit, the Deal's published Bonus Cash and/or Acorn reward is credited to the Player's wallet, and the deposited cash is credited to the Player's real cash balance.

A given deposit is processed under either the Deal's reward schedule or the Platform's standard deposit-tier bonus schedule, but not both. The standard deposit-tier bonus applies as a fallback only where the Deal reward cannot be issued (for example, where the per-Player or aggregate cap has been reached, the active window has closed, or the deposit amount does not match the Deal's required amount).

5.4Caps and Limits

Each Deal has a per-Player redemption cap (the maximum number of times one Player may claim that Deal) and may have an aggregate redemption cap (the maximum total number of times the Deal may be claimed across all Players). When the aggregate cap is reached, the Deal is no longer offered to additional Players. Caps applicable to a given Deal are disclosed at the point the Deal is offered.

5.5No Wagering or Playthrough Requirement

Bonus Cash and Acorns awarded through a Deal carry no wagering, playthrough, or rollover requirement; they are available for use on the Platform immediately upon being credited. Bonus Cash awarded through a Deal is governed by the Bonus Cash mechanics described in Section 3.7 of these Promotional Terms and Sections 6.4 through 6.7 of the Terms of Service, including the immediate and permanent forfeiture of any unused Bonus Cash upon any withdrawal of cash from the Player's Platform wallet.

5.6No Cash Conversion

For the avoidance of doubt, a Deal does not result in a Player receiving real (withdrawable) cash beyond the amount the Player deposited. The Deal's reward is exclusively non-withdrawable Bonus Cash and/or in-app Acorns. The cash the Player deposited remains the Player's real cash balance and is withdrawable subject to the standard withdrawal terms set forth in Section 7 of the Terms of Service and Section 4 of the Payment Terms.

5.7Modification, Suspension, and Termination

Deku Studios may add, modify, suspend, or terminate any Deal at any time consistent with Section 9. A Deal that has been claimed before termination will be honored on the terms applicable at the time of the claim, and the resulting Bonus Cash and Acorn credits remain subject to the standard mechanics described in this Section 5 and in the Terms of Service.

6.Promo Codes

6.1Overview

A "Promo Code" is an alphanumeric redemption code issued by Deku Studios that, when redeemed by an eligible Player through the Platform, grants the Player a published reward in Bonus Cash, in Acorns, or in both. Promo Codes are scoped to a specific game on the Platform and are redeemed by entering the code through the Player's in-app profile.

6.2Eligibility

To redeem a Promo Code, a Player must satisfy the General Eligibility requirements in Section 2 and must hold an active game profile on the Platform for the game to which the code applies. A given Promo Code may impose additional restrictions, including a validity window (start and end dates), a per-Player redemption cap (the maximum number of times that code may be redeemed by a single Player; typically once), and an aggregate redemption cap (the maximum total number of redemptions across all Players).

6.3Redemption

A Player redeems a Promo Code by opening the redemption sheet within the Platform's profile interface, entering the code (codes are case-insensitive and uppercase-normalized at submission), and confirming. Upon successful redemption, the code's published reward is credited to the Player's Bonus Cash and/or Acorn balance immediately.

6.4Rate Limits and Abuse Prevention

To protect the integrity of the Promo Code system, the Platform applies operational limits to code redemption, including per-Player rate limits, a temporary account-level lockout following consecutive invalid code attempts, and server-side concurrency controls that enforce each code's caps exactly. These limits are operational safeguards against automated brute-force redemption attempts, not punitive measures. A Player who is temporarily rate-limited or locked out may re-attempt redemption after the applicable window has elapsed.

6.5No Wagering or Playthrough Requirement

Bonus Cash and Acorns awarded through a Promo Code carry no wagering, playthrough, or rollover requirement; they are available for use on the Platform immediately upon being credited. Bonus Cash awarded through a Promo Code is governed by the Bonus Cash mechanics described in Section 3.7 of these Promotional Terms and Sections 6.4 through 6.7 of the Terms of Service, including the immediate and permanent forfeiture of any unused Bonus Cash upon any withdrawal of cash from the Player's Platform wallet.

6.6No Cash Conversion

For the avoidance of doubt, a Promo Code does not result in a Player receiving real (withdrawable) cash. The Promo Code's reward is exclusively non-withdrawable Bonus Cash and/or in-app Acorns.

6.7Modification, Deactivation, and Termination

Deku Studios may add, modify, deactivate, extend, or terminate any Promo Code at any time consistent with Section 9. Deactivation of a Promo Code prevents future redemptions but does not retroactively reverse credits already received by Players who redeemed the code prior to deactivation, except in cases of fraud or other violation as set forth in Section 8 of these Promotional Terms or the Acceptable Use Policy.

7.Other Promotional Offers

From time to time, Deku Studios may offer additional promotions, deposit bonuses, contest-entry credits, leaderboard prizes, or other incentive programs. Each such offer will be communicated through the Platform, by email, or through other reasonable means, and will include the terms specific to that offer (for example, the qualifying action, the credit amount, the duration, and any caps or restrictions).

Unless an individual offer states otherwise:

  • The General Eligibility requirements in Section 2 apply to every promotional offer.
  • The Prohibited Conduct rules in Section 4 apply to every promotional offer.
  • Any credit issued under an individual promotional offer is Bonus Cash governed by Sections 6.4 through 6.7 of the Terms of Service.
  • The Verification, Anti-Abuse, and Enforcement procedures in Section 8 apply to every promotional offer.

8.Verification, Anti-Abuse, and Enforcement

8.1Detection

Deku Studios uses a combination of device fingerprinting, IP and network analysis, payment-method correlation, behavioral signals, identity-verification data, and manual review to detect promotional abuse, fraud, and ineligible referrals. Attribution and verification steps may delay the issuance of a bonus credit beyond the seventy-two (72)-hour window in Section 3.5 while review is in progress. Bonus credits issued during the pendency of a review may be reversed if the review concludes the Qualifying Event or the referral attribution was ineligible.

8.2Clawback and Forfeiture

If Deku Studios determines, in its reasonable discretion, that a Player has violated these Promotional Terms, the Acceptable Use Policy, or the Terms of Service in connection with a promotion or referral, Deku Studios may take one or more of the following actions:

  • Void the relevant bonus credit and remove it from the Player's Bonus Cash balance.
  • Reverse, forfeit, or recover the value of any contest entries paid for using a void bonus credit, and void the contest results attributable to those entries.
  • Suspend or terminate the Player's account.
  • Withhold any cash balance or contest winnings to the extent attributable to the violating conduct.
  • Refer the matter to law enforcement where required by law or warranted by the conduct.

Tiered enforcement decisions are made consistent with the framework in Section 9 of the Acceptable Use Policy.

8.3Appeals

If your bonus credit is voided or reversed and you believe the action was made in error, you may submit an appeal to support@deku.net within thirty (30) days of the action. Please include your account email, the affected referral or promotion, and any information that supports your position. We will respond within fourteen (14) business days.

9.Modification, Suspension, and Termination of the Program

Deku Studios reserves the right, in its sole discretion and without prior notice, to:

  • Modify the bonus amounts, qualifying conditions, eligibility criteria, caps, or other terms of any promotion or of the Referral Program, on a forward-looking basis.
  • Suspend or terminate the Referral Program or any other promotional offer, in whole or in part.
  • Restrict or revoke a particular Player's eligibility to participate in a promotion or the Referral Program.

Changes will not retroactively reduce a bonus credit that has already been issued and earned, except in the case of fraud, abuse, or other violation of these Promotional Terms, the Acceptable Use Policy, or the Terms of Service.

If the Referral Program or another promotion is permanently terminated, previously issued and unexpired Bonus Cash credits remain usable for the duration of the expiration period set forth in Section 3.7.

10.Tax Considerations

Promotional credits and referral bonuses issued as Bonus Cash are not treated as income at the time of issuance because they have no cash value, are non-withdrawable, and are usable only on the Platform. To the extent contest winnings derived in whole or in part from the use of Bonus Cash become withdrawable real-cash winnings, those winnings are subject to the tax-reporting and information-collection terms set forth in Section 4.4 of the Terms of Service and Section 10 of the Payment Terms (currently a Form 1099-MISC reporting threshold of two thousand dollars ($2,000) for calendar year 2026 under 26 U.S.C. § 6041(a) and IRS Publication 1099 (2026)) and to applicable federal and state law. Deku Studios does not provide tax advice. Players are solely responsible for reporting and paying any taxes owed on contest winnings.
